As per Scheme of Arrangement sanctioned by the Hon’ble National Company Law Tribunal, Kolkata Bench, between, Composite Scheme of Arrangement amongst CESC Infrastructure Limited, Spencer's Retail
Limited, Music World Retail Limited, Spen Liq Private Limited, New Rising Promoters Private Limited, CESC Limited ("Company"), Haldia Energy Limited, RP-SG Retail Limited, RP-SG Business Process Services Limited and Crescent Power Limited and their respective shareholders:
A) Upon the coming into effect of the aforesaid Scheme and in consideration of the transfer and vesting of the Retail Undertaking I from CESC Ltd. Into RP- SG Retail Limited (RPSGRL), RPSGRL shall issue and allot “6 (SIX) fully paid up equity shares of Rs. 5/- of RPSGRL for every 10 (TEN) fully paid up equity shares held in CESC Limited.”
B) Upon the coming into effect of the aforesaid Scheme and in consideration of the demerger of the IT Undertaking from CESC Ltd. Into RP- SG Business Process Services Limited (RPSGBPSL); RPSGBPSL shall issue and allot “2 (TWO) fully paid up equity shares of Rs. 10/- of RPSGBPSL for every 10 (TEN) fully paid up equity shares held in CESC Limited.”

Note:
Pursuant to SEBI Circular No. SEBI/Cir/ISD/1/2010 dated September 2, 2010, Trading members are hereby informed that the trading in the equity shares of the aforesaid company shall be a part of Call Auction in Pre-open Session on October 30, 2018.
Subject to compliance with requisite formalities the shares of resulting companies RP- SG Retail Limited & RP- SG Business Process Services Limited will be listed on BSE Limited.
