1. The brief particulars of the Composite Scheme of Arrangement are as mentioned below:
a) The Composite Scheme of Arrangement of the Company was approved by the Hon'ble National Company Law Tribunal (NCLT) at Mumbai its Order dated 09.08.2018
b) Appointed Date: 01.04.2017
c) Effective date: 05.09.2018
d) Date of Allotment: 29.10.2018
e) Pursuant to the Composite Scheme of arrangement between Corporate Courier and Cargo Limited and Harish Textile Engineers Limited (Resulting Company) and Mahesh Developers Limited (Resulting Company) and their respective shareholders and creditors as sanctioned by the Mumbai Bench of the Hon’ble National Company Law Tribunal; whereby upon coming into effect of the scheme and in consideration of the demerger of the Demerged Undertaking 1 to Harish Textile Engineers Limited pursuant to this Scheme :
Harish Textile Engineers Limited shall issue and allot equity shares at par on a proportionate basis to the shareholders of Corporate Courier and Cargo Limited in the following proportion:
“13 equity share of face value of Rs. 10/- each credited as fully paid up in Harish Textile Engineers Limited for every 100 equity share of face value of Rs. 10/- each fully paid-up held in Corporate Courier and Cargo Limited”
Prior to the Scheme, the paid-up equity capital of Harish Textile Engineers Limited was Rs. 2,40,00,000/-consisting of 24,00,000 equity shares of face value of Rs. 10/- each. After giving effect to the allotment of 9,36,000 equity shares of Rs. 10/- to the shareholders of Corporate Courier and Cargo Ltd, the post arrangement paid up equity capital of Harish Textile Engineers Limited is Rs. 3,33,60,000/- consisting of 33,36,000 Equity shares Rs. 10/- each.
2. As per Exchange Notice No. 20180912-33 dated 12.09.2018, Corporate Courier and Cargo Ltd had fixed Record date as 21.09.2018 for giving effect to the Composite Scheme of Arrangement.
