The Scheme of Amalgamation: -
Upon the Scheme becoming effective and in consideration of the Amalgamation of Gloster Limited into Kettlewell Bullen & Company Limited, Kettlewell Bullen & Company Limited shall issue and allot Equity Shares to the shareholders of Gloster Limited in the following share exchange ratio:
“02 (Two) Equity shares of Rs.10/- each Fully Paid Up of Kettlewell Bullen & Company Limited for every 05 (Five) equity Shares of Rs.10/- each held in Gloster Limited ”.

Note: Further as envisaged in the Scheme, the Transferee Company i.e., Kettlewell Bullen & Company Ltd would be renamed as 'Gloster Limited' and would be listed at BSE Ltd and The Calcutta Stock Exchange Ltd.
