a) The Composite Scheme of Arrangement of the Company was approved by the National Company Law Tribunal, Allahabad Bench vide its Order dated 31.01.2018.

d) Date of Allotment: 28.03.2018
e) Pursuant to Composite Scheme of Arrangement among Sybly Industries Ltd (Demerged Company), and Space Incubatrics Technologies Limited (Resulting Company) & Vartex Fabrics Private Limited (Transferor Company No 1 ) and Dux Textiles Private Limited(Transferor Company No 2) and their respective shareholders and creditors as sanctioned by the Allahabad Bench of the Hon’ble National Company Law Tribunal; whereby upon the coming into effect of the Scheme and in consideration of the hive off of Investments, Loan & Advances given to Wholly Owned Subsidiary & Other Entities which do not pertain to the core activities of Sybly Industries Ltd into Space Incubatrics Technologies Limited, Space Incubatrics Technologies Limited shall issue and allot equity shares at par on a proportionate basis to the shareholders of Sybly Industries Ltd in the proportion of 85 (Eighty Five ) fully paid up equity share of Space Incubatrics Technologies Limited shall be issued and allotted for every 100 (Hundred) fully paid up equity share held in Sybly Industries Ltd. The issued, subscribed and paid-up equity capital of the company post arrangement is Rs. 34,60,91,760/- consisting of 3,46,09,176 Equity shares of Rs. 10/- each
2. As per Exchange Notice No. 20180313-50 dated 13.03.2018, Sybly Industries Limited had fixed Record date as 23.03.2018 for giving effect to the Composite Scheme of Arrangement.
