Trading members may note that the trading in the equity shares of the aforesaid company; Texel Industries Ltd is currently suspended. Thus the trading in the aforesaid equity shares would commence on revocation of suspension in the scrip.
1. The brief particulars of the scheme of reduction in capital are as mentioned below:
(a) The Scheme involving Reduction of Capital of the Company was approved by Hon’ble Board for Industrial and Financial Reconstruction (BIFR) vide its order dated August 31, 2015 and Hon’ble High Court of Gujarat vide its order dated August 12, 2016.
(b) As per the BIFR Order, the issued, subscribed and paid-up equity capital of the company stand reduced from Rs. 8,14,58,420/- consisting of 81,45,842 equity shares of face value of Rs.10/- each to Rs. 5,22,29,210/- consisting of 52,22,921 equity shares of Rs.10/- each by way of reduction of share capital by 50%, whereby out of the existing pre- reduction equity capital of Rs. 8,14,58,420/- consisting of 81,45,842 eq shares of face value of Rs.10/- each; equity capital of Rs. 5,84,58,420/- consisting of 58,45,842 eq shares of face value of Rs.10/- each are subject to Capital Reduction of 50% as per BIFR Order dtd. 31/08/2015 [except 8,00,000 eq shares of face value of Rs.10/- each issued to Standard Chartered Bank and 15,00,000 eq shares of face value of Rs.10/- each issued to Promoter (Avani Mehta) & Non-Promoter (Skypoint Technical Textiles Pvt Ltd) are not subject to Capital Reduction as per aforesaid BIFR Order. The reduction was affected by reducing the face value per shares from Rs. 10/- to Rs. 5/- and thereafter every 2 equity shares of Rs. 5/- each has been consolidated into 1 equity share of Rs. 10/- each.
2. The Company had fixed March 1, 2017 as record date for giving effect to the reduction of share capital.
3. Trading members of the Exchange may also note that in respect of shares held in physical form, the company will issue new certificates. The old certificates shall stand cancelled.
4. Trading members of the Exchange are informed that the Equity Share certificates in Physical form bearing the under mentioned distinctive numbers of the company as stated alongside shall be good/bad delivery in the market.
