1. The brief particulars of the Scheme of Arrangement are as mentioned below:
a) The Scheme of Arrangement of the Company was approved by the National Company Law Tribunal, Ahmedabad vide its Order dated 09/05/2018.

e) Pursuant to Scheme of Arrangement between Nila Infrastructures Ltd (Transferor Company) and Nila Spaces Ltd (Transferee Company) and their respective shareholders and creditors as sanctioned by the Ahmedabad Bench of the Hon’ble National Company Law Tribunal; whereby upon coming into effect of the scheme and in consideration of the demerger of the Real Estate Undertaking (Demerged Undertaking) into Nila Spaces Ltd pursuant to the Scheme, Nila Spaces Limited shall issue and allot equity shares at par on a proportionate basis to the shareholders of Nila Infrastructures Ltd in the ratio of 1 (One) fully paid up equity share of Nila Spaces Limited for every 1 (One) fully paid up equity share held in Nila Infrastructures Ltd.
2. As per Exchange Notice No’s. 20180601- 31 dated June 01, 2018, Nila Infrastructures Ltd (Transferor Company) had fixed Record date as 15/06/2018 for giving effect to the Scheme of Arrangement.
