Scheme of Amalgamation: -
Upon the Scheme becoming effective and in consideration of the Amalgamation of Pennar Engineered Building Systems Ltd into Pennar Industries Ltd , Pennar Industries Ltd shall issue and allot Equity Shares to the shareholders of Pennar Engineered Building Systems Ltd in the following share exchange ratio:
‘’23 (Twenty Three) Equity shares of face value of Rs.5/- each of Pennar Industries Ltd, fully paid up for every 13 (Thirteen) shares of face value of Rs.10/- each held in Pennar Engineered Building Systems Ltd Company”.
