1. The brief particulars of the Scheme of Amalgamation and Arrangement are as mentioned below:
a) The Scheme of Amalgamation and Arrangement of the Company was approved by the
Hon'ble National Company Law Tribunal (NCLT), Division Bench, at Chennai vide its Order
dated 30.03.2017
b) Appointed Date: 01.04.2014
c) Effective date: 28.04.2017
d) Date of Allotment: 30.05.2017
e) Pursuant to the Scheme of Amalgamation and Arrangement between erstwhile Chemfab
Alkalis Limited (CAL) and erstwhile Teamec Chlorates Ltd (TCL) (presently known as Chemfab
Alkalis Limited w.e.f 21.07.2017), where post Reduction of capital of TCL to Rs.7280800/-,
CAL will get merged with TCL. In consideration of the merger, TCL shall issue and allot to the
equity Shareholders of CAL, 10 (ten) equity shares of Rs. 10/-each of TCL for every 7(seven)
equity Shares held by the equity shareholder of Rs. 5 /-each held in CAL.
Prior to the Scheme, the Paid-up equity capital of TCL was Rs. 728.08 Lacs consisting of
7280804 equity Shares of face value of Rs.10/- each.
The issued, subscribed and paid-up equity capital of TCL post arrangement is
Rs. 1383.05 Lacs consisting of 13830504 Equity shares Rs.10/- each.
2. As per Exchange Notice No. 20170518-36 dated 18.05.2017, CAL had fixed Record
date as 26.05.2017 for giving effect to the Scheme of Arrangement.
