| Offer for Sale for IndoStar Capital Finance Limited |
This is in continuation of the Exchange notice no. 20210818-17 dated Aug 18,2021 for Offer for Sale (OFS) whereby the “Promoter Seller”, Indostar Capital proposed to sell up to 6,189,737 (5%) equity shares of the Company of face value of INR 10/- each with an option to additionally sell up to 6,189,737 (5 %) equity shares of IndoStar Capital Finance Limited (“ The Company”).
The Promoter Seller, IndoStar Capital Finance Limited has informed the Exchange of its intention to exercise the Oversubscription Option in the Offer to 6,13,321 Equity Shares (representing 0.50% of the total issued and paid-up Equity Share capital of the Company on a non-fully diluted basis and 0.45% of the total issued and paid-up Equity Share capital of the Company on a fully diluted basis) in addition to 6,189,737 Equity Shares (representing 5.00% of the total issued and paid-up Equity Share capital of the Company on a non-fully diluted basis and 4.56% of the total issued and paid-up Equity Share capital of the Company on a fully diluted basis) forming part of the Base Offer Size. Accordingly, the aggregate number of Sale Shares will be up to 68,03,058 Equity Shares (representing 5.50% of the total issued and paid-up Equity Share capital of the Company on a non-fully diluted basis and 5.01% of the total issued and paid-up Equity Share capital of the Company on a fully diluted basis) of which, up to 6,80,306 Equity Shares (representing 0.55% of the total issued and paid-up Equity Share capital of the Company on a non-fully diluted basis and 0.50% of the total issued and paid-up Equity Share capital of the Company on a fully diluted basis) would be available as part of the Offer on T+1 day.
