Scheme of Amalgamation: -
Upon the Scheme becoming effective and in consideration of the Amalgamation of Harita Seating Systems Limited into Minda Industries Limited.
Minda Industries Limited shall issue and allot to the shareholders of Harita Seating Systems Limited, at their option (" Share Exchange Ratio") :
“152 (One Hundred and Fifty-Two) equity shares of Minda Industries Limited having a face value of INR 2 each to be issued as fully paid-up, for every 100 (One Hundred) fully paid up equity shares held by shareholder of Harita Seating Systems Limited having a face value INR 10 each .”
OR
“4 (Four) fully paid up 0.01% Non-Convertible Redeemable Preference shares of INR 100/- each at a price of INR 121.25/- per Non-Convertible Redeemable Preference Shares of Minda Industries Limited with a yield of 7.5% per annum on the issued price, for every 1 (One) fully paid up equity share held by shareholder of Harita Seating Systems Limited having a face value INR 10 each ”
