1. The brief particulars of the Composite Scheme of Arrangement are as mentioned below:
a) The Composite Scheme of Arrangement of the Company was approved by the Hon'ble National Company Law Tribunal (NCLT) at Guwahati Bench vide its Order dated 28/06/2019.
b) Appointed Date: 01.04.2018
c) Effective date: 01.07.2019
d) Date of Allotment: 19.07.2019
e) Pursuant to the Composite Scheme of Arrangement amongst Greenply Industries Ltd and Greenpanel Industries Ltd and their respective Shareholders as sanctioned by the Guwahati Bench of the Hon’ble National Company Law Tribunal; whereby upon coming into effect of the scheme and in consideration of the transfer and vesting of the Medium Density Fibre Boards undertaking from Greenply Industries Ltd into Greenpanel Industries Ltd; Greenpanel Industries Ltd shall issue and allot “1 (One) fully paid up equity share of Re 1/- of Greenpanel Industries Ltd for every (One) fully paid up equity share of Re. 1/- held in Greenply Industries Ltd on the Record Date.
Prior to the Scheme, the equity capital of Greenpanel Industries Ltd was Rs. 10,00,000/- consisting of 10,00,000 equity shares of face value of Re. 1/- each and the same shall stand cancelled upon the scheme coming effect.
The issued, subscribed and paid-up equity capital of Greenpanel Industries Ltd post arrangement is Rs. 12,26,27,395 /- consisting of 12,26,27,395 Equity shares Re. 1/- each.
2. As per Exchange Notice No. 20190705-30 dated 05.07.2019, Greenply Industries Ltd had fixed Record date as 15.07.2019 for giving effect to the Composite Scheme of Arrangement.
