Upon the Scheme becoming effective and in consideration of the Amalgamation of Florence Investech Limited into Bengal & Assam Company Limited, BACL shall issue and allot Equity Shares to the shareholders of Florence Investech Limited in the following share exchange ratio:
‘’89 (Eighty Nine) Equity shares of face value of Rs.10/- each Bengal & Assam Company Limited , fully paid up for every 100 (Hundred) shares of face value of Rs.10/- each held in Florence Investech Limited”
