1. The brief particulars of the Composite Scheme of Arrangement are as mentioned below:
a) The Composite Scheme of Arrangement of the Company was approved by the Hon'ble National Company Law Tribunal (NCLT) at Kolkata Bench vide its Order dated 26.06.2019
b) Appointed Date: 01.04.2018
c) Effective date: 05.08.2019
d) Date of Allotment: 23.08.2019
e) Pursuant to the Composite Scheme of Arrangement between HSIL Limited (Transferor Company) and Somany Home Innovation Limited (Transferee Company 1) & Brilloca Limited (Transferee Company 2) and their respective Shareholders and Creditors as sanctioned by the Kolkata Bench of the Hon’ble National Company Law Tribunal; whereby upon coming into effect of the scheme and in consideration of the a) demerger of the Consumer Products Distribution & Marketing Undertaking (“CPDM Undertaking”) & Retail Undertaking division of HSIL Limited into Somany Home Innovation Limited and b) demerger of the BPDM Undertaking into Brilloca Limited, pursuant to this Scheme; Somany Home Innovation Limited shall issue and allot equity to the shareholders of HSIL Limited in the following proportion: “1 fully paid up equity share of Rs. 2/- each fully paid up of Somany Home Innovation Limited shall be issued and allotted for every 1 fully paid up equity share of Rs. 2/- each fully paid up held in HSIL Limited on the Record Date.”
Prior to the Scheme, the equity capital of Somany Home Innovation Limited was Rs. 10,00,000/- consisting of 5,00,000 equity shares of face value of Rs. 2/- each and the same shall stand cancelled upon the scheme coming effect.
The issued, subscribed and paid-up equity capital of Somany Home Innovation Limited post arrangement is Rs. 14,45,92,790/- consisting of 7,22,96,395 Equity shares Rs. 2/- each.
2. As per Exchange Notice No. 20190809-22 dated 09.08.2019, HSIL Limited had fixed Record date as 20.08.2019 for giving effect to the Composite Scheme of Arrangement.
