1. The brief particulars of the Scheme of Arrangement are as mentioned below:
a) The Scheme of Arrangement of the Company was approved by the Hon'ble National Company Law Tribunal (NCLT) at Ahmedabad Bench vide its Order dated 17.03.2020.
b) Appointed Date: 01.04.2017
c) Effective date: 20.06.2020
d) Date of Allotment: 12.11.2020
e) Pursuant to the Scheme of Arrangement between Deep Energy Resources Limited (formerly known as Deep Industries Limited) and Deep Industries Limited (formerly known as Deep CH4 Limited) and their respective Shareholders and Creditors as sanctioned by the Ahmedabad Bench of the Hon’ble National Company Law Tribunal; whereby upon coming into effect of the scheme and in consideration of the transfer and vesting of the “Oil & Gas Services Undertaking” from Deep Energy Resources Limited into Deep Industries Limited, Deep Industries Limited shall issue and allot “1 fully paid up equity share of Rs.10/- each of Deep Industries Limited for every 1 fully paid up equity shares of Rs. 10/- each held in Deep Energy Resources Limited on the Record date.”
Prior to the Scheme, the paid-up Equity Capital of Deep Industries Limited was Rs. 6,60,000/- consisting of 66,000 equity shares of face value of Rs. 10/- each and the same shall stand cancelled upon the scheme coming effect.
The issued, subscribed and paid-up Equity Capital of Deep Industries Limited Post Scheme of Arrangement is Rs. 32,00,00,000/- consisting of 3,20,00,000 equity shares of face Value of Rs. 10/- each fully paid.
2. As per Exchange Notice No. 20201105-32 dated 05.11.2020, Deep Energy Resources Limited (formerly known as Deep Industries Limited) had fixed Record date as 11.11.2020 for giving effect to the Scheme of Arrangement.
