Trading members of the Exchange are hereby informed that, pursuant to the Composite Scheme of Arrangement (for Merger) between Tata Coffee Ltd (“Transferor/Demerged Company”) and Tata Beverages & Foods Ltd (“Resultant Company No. 1”) and Tata Consumer Products Ltd (“Resultant Company No.2’), as sanctioned by the Hon’ble National Company Law Tribunal, Kolkata Bench and Bengaluru Bench. Tata Coffee Ltd, has informed the Record Date fixed to determine the entitlement of shareholders of Tata Coffee Ltd to Equity Shares of Tata Consumer Products Ltd.
Trading Members are advised not to deal in the Equity Shares of Tata Coffee Ltd with effect from the under mentioned date:-

Composite Scheme of Arrangement : -
(1) Demerger:-
Upon the Scheme becoming effective and in consideration of the Demerger of the Plantation Business of Tata Coffee Ltd into Tata Beverages & Foods Ltd ;
Tata Consumer Products Ltd being the Holding Company of Tata Beverages & Foods Ltd shall issue and allot Equity Shares to the Shareholders of Tata Coffee Ltd in the following manner:-
“1 (one) Fully Paid-Up Equity Share of Re.1/- each of Tata Consumer Products Ltd to be issued for every 22 (Twenty-Two) Fully Paid-Up Equity Shares of Re.1/- each held in Tata Coffee Ltd”;
(2) Amalgamation:
As a Second Step, and in consideration of the Amalgamation of Tata Coffee Ltd (comprising the Remaining Business of Tata Coffee Ltd) Into Tata Consumer Products Ltd;
Tata Consumer Products Ltd shall issue and allot Equity Shares to the Shareholders of Tata Coffee Ltd in the following manner:-
"14 (Fourteen) Fully Paid-Up Equity Shares of Re.1/- each of Tata Consumer Products Ltd shall be issued and allotted for every 55 (fifty-five) Fully Paid-Up Equity Shares of Re.1/- each held in Tata Coffee Ltd."
