Trading members of the Exchange are hereby informed that, pursuant to the Scheme of Amalgamation as between GUJARAT SIDHEE CEMENT LIMITED., (“Transferor Company”) and SAURASHTRA CEMENT LIMITED (“Transferee Company”), sanctioned by the Hon’ble National Company Law Tribunal, Ahmedabad Bench. GUJARAT SIDHEE CEMENT LIMITED has fixed Record Date to determine the entitlement of shareholders of GUJARAT SIDHEE CEMENT LIMITED to Equity Shares of SAURASHTRA CEMENT LIMITED.
Trading Members are advised not to deal in the Equity Shares of GUJARAT SIDHEE CEMENT LIMITED., with effect from the under mentioned date:-

As per the Scheme of Amalgamation: -
Upon the Scheme becoming effective and in consideration of the Amalgamation of GUJARAT SIDHEE CEMENT LIMITED INTO SAURASHTRA CEMENT LIMITED;
SAURASHTRA CEMENT LIMITED shall issue and allot Equity Shares to the shareholders of GUJARAT SIDHEE CEMENT LIMITED., in the following share exchange ratio:
“62 (Sixty-Two) Equity Shares of SAURASHTRA CEMENT LIMITED having a Face Value of Rs.10/- each to be issued as Fully Paid-Up, for every 100 (Hundred) Fully Paid-Up Equity Shares held by the Shareholder of GUJARAT SIDHEE CEMENT LIMITED having a Face Value Rs.10 each (“Share Exchange Ratio”).”
