Trading members of the Exchange are hereby informed that, pursuant to the Scheme of Amalgamation as sanctioned by the Hon’ble National Company Law Tribunal, Ahmedabad Bench, between: JMC PROJECTS (INDIA) LTD. (“Transferor Company”) and KALPATARU POWER TRANSMISSION LIMITED (“Transferee Company”). JMC PROJECTS (INDIA) LTD., have informed the Record Date fixed for the purpose of Amalgamation as also to determine the entitlement of shareholders of JMC PROJECTS (INDIA) LTD to the Equity Shares of KALPATARU POWER TRANSMISSION LIMITED.
Trading Members are advised not to deal in the Equity shares of JMC PROJECTS (INDIA) LTD. with effect from the under mentioned date:-

As per the Scheme of Amalgamation approved by the NCLT, Ahmedabad Bench : -
Upon the Scheme becoming effective and in consideration of the Amalgamation of JMC PROJECTS (INDIA) LTD. and KALPATARU POWER TRANSMISSION LIMITED;
KALPATARU POWER TRANSMISSION LIMITED shall issue and allot Equity Shares to the shareholders of JMC PROJECTS (INDIA) LTD. in the following share exchange ratio :
“1 (One) Equity Share having a face value of Rs.2/- each of KALPATARU POWER TRANSMISSION LIMITED to be issued as Fully paid-up, for every 4 (Four) Fully Paid-Up Equity Shares having a face value of Rs.2/- each held by shareholders of JMC PROJECTS (INDIA) LTD. (“Share Exchange Ratio”).”
