Trading members of the Exchange are hereby informed that, pursuant to the Scheme of Amalgamation between SHRIRAM CITY UNION FINANCE LTD. (“Transferor Company”) and SHRIRAM TRANSPORT FINANCE COMPANY LIMITED (“Transferee Company”) and Others, as approved by the Hon’ble National Company Law Tribunal, Special Bench–II, Chennai, SHRIRAM CITY UNION FINANCE LTD, has informed the Record Date fixed for the purpose of determining the entitlement of the shareholders of SHRIRAM CITY UNION FINANCE LTD to the Equity Shares of SHRIRAM TRANSPORT FINANCE COMPANY LIMITED.
Trading Members are advised not to deal in the Equity Shares of SHRIRAM CITY UNION FINANCE LTD. with effect from the under mentioned date:-

Scheme of Amalgamation: -
Upon the Scheme becoming effective and in consideration of the Amalgamation, transfer and vesting of SHRIRAM CITY UNION FINANCE LIMITED INTO SHRIRAM TRANSPORT FINANCE COMPANY LIMITED;
SHRIRAM TRANSPORT FINANCE COMPANY LIMITED shall issue and allot Equity Shares to the shareholders of SHRIRAM CITY UNION FINANCE LTD in the following share exchange ratio:
“For every 100 (One Hundred) fully paid-up Equity shares of Rs.10/- each held in SHRIRAM CITY UNION FINANCE LTD. (SCUFL), the shareholders of SCUFL will be entitled to receive 155 (One Hundred and Fifty Five) fully paid-up Equity Shares of Rs.10/- each of SHRIRAM TRANSPORT FINANCE COMPANY LIMITED (“Share Exchange Ratio”).”
