Trading members of the Exchange are hereby informed that, pursuant to the Scheme of Amalgamation between MINDTREE LIMITED (“Transferor Company”) and LARSEN & TUBRO INFOTECH LIMITED (“Transferee Company”), as sanctioned by the Hon’ble National Company Law Tribunal, Bengaluru Bench. MINDTREE LIMITED, has informed the Record Date fixed to determine the entitlement of shareholders of MINDTREE LIMITED to Equity Shares of LARSEN & TUBRO INFOTECH LIMITED.
Trading Members are advised not to deal in the Equity Shares of MINDTREE LIMITED with effect from the under mentioned date:-

Scheme of Amalgamation: -
Upon the Scheme becoming effective and in consideration of the Amalgamation of MINDTREE LIMITED INTO LARSEN & TUBRO INFOTECH LIMITED.
LARSEN & TUBRO INFOTECH LIMITED shall issue and allot Equity Shares to the shareholders of MINDTREE LIMITED in the following share exchange ratio:
“73 (Seventy-Three) fully Paid-Up Equity Shares of Re.1/- each of LARSEN & TUBRO INFOTECH LIMITED to be issued, for every 100 (Hundred) fully paid up Equity Shares of Rs.10/- each held by shareholder of MINDTREE LIMITED (“Share Exchange Ratio”).”
