Trading members of the Exchange are hereby informed that, pursuant to the Scheme of Amalgamation between APOLLO TRICOAT TUBES LIMITED(“Transferor Company No. 2” " The Company") and APL APOLLO TUBES LIMITED (“Transferee Company”), as sanctioned by the Hon’ble National Company Law Tribunal, New Delhi Bench. APOLLO TRICOAT TUBES LIMITED, has informed the Record Date fixed to determine the entitlement of shareholders of the Company to Equity Shares of APL APOLLO TUBES LIMITED.
Trading Members are advised not to deal in the equity shares of APOLLO TRICOAT TUBES LIMITED with effect from the under mentioned date:

Scheme of Amalgamation: -
Upon the Scheme becoming effective and in consideration of the Amalgamation of APOLLO TRICOAT TUBES LIMITED INTO APL APOLLO TUBES LIMITED;
APL APOLLO TUBES LIMITED shall issue and allot Equity Shares to the shareholders of APOLLO TRICOAT TUBES LIMITED in the following share exchange ratio:
“1 (One) fully paid-up Equity Share of face value of INR 2/- (Rupees Two) each of APL APOLLO TUBES LIMITED to be issued for every 1 (One) fully paid up Equity Share of INR 2/- (Rupees Two) each held by shareholder of APOLLO TRICOAT TUBES LIMITED (“Share Exchange Ratio”).”
