The Exchange vide its notice no. 20170210-16 dated Feb 10, 2017,20190424-35 dated April 24, 2019 and 20200528-32 dated 28 May 2020, 20201102-43 dated 02 Nov 2020, 20210825-62 dated Aug 25,2021 has issued Revised Guidelines of Mechanism for acquisition of shares through Stock Exchange pursuant to Tender-Offers under Takeovers, Buy Back and Delisting.
All Market Participants are hereby informed that an Open Offer (“Offer”) is made by Mr. Vishesh Gupta (“Acquirer 1”) and Vrindaa Advanced Materials Limited (“Acquirer 2”) (hereinafter collectively referred to as “Acquirers”) to the public shareholders of GI Engineering Solutions Limited (“Target Company”) to acquire upto 22,39,089 (Twenty Two Lakh Thirty Nine Thousand and Eighty Nine) Equity Shares of face value of INR 10.00/- each representing 26.00% of the paid-up equity share capital of the Target At an Offer Price of INR 5.15 (Indian Rupees Five and One Five Paisa Only) per fully paid-up equity share, Regulation 3(1) and Regulation 4 of Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers) Regulations, 2011 and subsequent amendments thereto for substantial acquisition of shares in the Target Company, from June 07, 2022 to June 20, 2022.
