CIR/CFD/POLICYCELL/1/2015 dated April 13, 2015 and no. CFD/DCR2/CIR/P/2016/131 dated Dec 09, 2016. The Exchange vide its notice no. 20170210-16 dated Feb 10, 2017,20190424-35 dated April 24, 2019 and 20200528-32 dated 28 May 2020, 20201102-43 dated 02 Nov 2020, 20210825-62 dated Aug 25,2021 has issued Revised Guidelines of Mechanism for acquisition of shares through Stock Exchange pursuant to Tender-Offers under Takeovers, Buy Back and Delisting.
All Market Participants are hereby informed that an Open Offer (“Offer”) is made by Puran Associates Private Limited (“Acquirer 1”), VIC Enterprises Private Limited (“Acquirer 2”) and M.B. Finmart Private Limited (“Acquirer 3”) (hereinafter collectively referred to as “Acquirers”) along with Gyan Enterprises Private Limited (“PAC 1”), Chowdry Associates (“PAC 2”) (hereinafter collectively referred to as the “PACs”) to the public shareholders of Eveready Industries India Ltd (“Target Company”) to acquire up to 1,88,98,688 fully paid-up equity shares of face value of Rs.5 each (“equity share”), representing 26.00% of the expanded voting share capital (as defined below) of the target company at a price of Rs.320 per equity share (“Offer Price”), pursuant to and in compliance with the Regulations 3(1) and 4 and other applicable regulations of the SEBI (SAST) Regulations., from June 03, 2022 to June 16, 2022.
