1. The brief particulars of the Scheme of Arrangement are as mentioned below:
a) The Scheme of Arrangement of the Company was approved by the Hon'ble National Company Law Tribunal (NCLT) at Mumbai Bench vide its Order dated 25.01.2022.
b) Appointed Date: 01.02.2022
c) Effective date: 31.01.2022
d) Date of Allotment: 14.02.2022
e) Pursuant to the Composite Scheme of Arrangement between Aquaignis Technologies Private Limited and Euro Forbes Financial Services Limited and Eureka Forbes Limited and Forbes & Company Limited and Forbes Enviro Solutions Limited (now known as Eureka Forbes Limited) and their respective Shareholders as sanctioned by the Mumbai Bench of the Hon’ble National Company Law Tribunal; whereby upon coming into effect of the scheme and in consideration of the transfer and vesting of the Health, Hygiene, Safety Products and Services Undertaking or Health and Safety Solutions Undertaking from Forbes & Company Limited into Eureka Forbes Limited (Formerly known as Forbes Enviro Solutions Limited), Eureka Forbes Limited (Formerly known as Forbes Enviro Solutions Limited) shall issue and allot Equity Shares to the shareholders of Forbes & Company Limited in the following proportion:
“Eureka Forbes Limited (Formerly known as Forbes Enviro Solutions Limited), shall issue 15 fully paid up equity shares of Rs.10/- each to the shareholders of Forbes & Company Limited for every 1 fully paid up equity shares of Rs.10/- each held by shareholders in Forbes & Company Limited”.
Prior to the Scheme, the paid-up Equity Capital of Eureka Forbes Limited (Formerly known as Forbes Enviro Solutions Limited) was Rs. 4,82,72,630/- consisting of 48,27,263 equity shares of face value of Rs. 10/- each and the same shall stand cancelled upon the scheme coming effect.
The issued, subscribed and paid-up Equity Capital of Eureka Forbes Limited (Formerly known as Forbes Enviro Solutions Limited) post arrangement is Rs.193,47,92,400/- consisting of 19,34,79,240 equity shares of face Value of Rs. 10/- each fully paid.
2. As per Exchange Notice No. 20220208-31 dated 08.02.2022, Forbes & Company Ltd had fixed Record date as 11.02.2022 for giving effect to the Scheme of Arrangement.
