CIR/CFD/POLICYCELL/1/2015 dated April 13, 2015 and no. CFD/DCR2/CIR/P/2016/131 dated Dec 09, 2016. The Exchange vide its notice no. 20170210-16 dated Feb 10, 2017, 20190424-35 dated April 24, 2019 and 20200528-32 dated 28 May 2020 and 20201102-43 dated 02 Nov 2020 has issued Revised Guidelines of Mechanism for acquisition of shares through Stock Exchange pursuant to Tender-Offers under Takeovers, Buy Back and Delisting.
All Market Participants are hereby informed that SIS Ltd (formerly known as Security and Intelligence (Services) India Ltd) /“The Company”) has announced an offer for buyback of up to 18,18,181 (Eighteen Lakh Eighteen Thousand One Hundred Eighty One Only) fully paid-up equity shares of the Company of the face value of Rs. 5/- (“Equity Shares”) each, representing 1.24% of the total number of equity shares in the total paid-up equity share capital of the Company as on March 31, 2020, from all eligible shareholders (equity shareholders as on the Record Date) on a proportionate basis, through the ‘Tender Offer’ process, at a price of Rs. 550/- (Indian Rupees Five Hundred Fifty Only) per equity share, payable in cash, for an aggregate maximum amount of Rs. 99,99,99,550/- (Indian Rupees Ninety Nine Crore Ninety Nine Lakh Ninety Nine Thousand Five Hundred Fifty Only), excluding transaction cost, from May 12, 2021, 2021 to May 27, 2021.
