1. The brief particulars of the Scheme of Arrangement are as mentioned below:
a) The Scheme of Arrangement of the Company was approved by the Hon'ble High Court at Bombay its Order dated December 23, 2011.
b) Appointed Date : July 01, 2010
c) Effective date: January 31, 2012
d) Date of Allotment: March 31, 2012
e) Pursuant to the Scheme, Zuari Forex Limited (ZFL) was merged into Phoenix Township Limited (PTL) and, in consideration thereof, PTL has issued and allotted 2 equity shares of Rs.10/- each for every 1 equity shares of Rs.10/- each held in ZFL as on the Record Date.
f) The issued, subscribed and paid-up equity capital of the company post arrangement is Rs.13,98,42,600/- consisting of 1,39,84,260 equity shares of Rs.10/- each.
2. As per Exchange Notice No. 20120313-28 dated March 13, 2012, ZFL fixed Record date as March 30, 2012 for giving effect to the Scheme of Arrangement.
