| Exchange Received Time 10/07/2019 14:11:42 Exchange Disseminated Time 10/07/2019 14:11:46 Time Taken 00:00:04 | In connection with the meetings of the Shareholders, Secured Creditors and Unsecured Creditors of DIL Limited held on July 8, 2019 convened pursuant to the order of the National Company Law Tribunal dated June 6, 2019 for seeking approval for the Scheme of Amalgamation of Fermenta Biotech Limited (the Transferor Company) with DIL Limited (the Transferee Company) and their respective shareholders under Sections 230 to 232 and other applicable provisions of the Companies Act, 2013 (the 'Scheme'), we would like to inform that:
(a) the shareholders of the Company have approved the Scheme with the requisite majority. The Consolidated Report of Scrutinizer along with the Scrutinizer's Report in respect of Public Shareholding issued by Ms. Suman Sureka, Suman Sureka & Associates, Practicing Company Secretaries are enclosed herewith;
(b) the Secured Creditors and Unsecured Creditors of the Company, at their respective meetings, have also approved the Scheme with the requisite majority.
