Pursuant to Regulation 30 read with Schedule III Part A Para A (7) of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we wish to inform you that Shri Nimesh Kampani (DIN: 00009071), who had been on the Board of the Company since the year 2003, expressed his desire not to be re-appointed as Independent Director for the second term, due to his advancing age. Hence, his re-appointment as Independent Director was not proposed at the 48th Annual General Meeting of the Company held on June 28, 2019.
Accordingly, upon completion of first term of appointment as Independent Director, Shri Nimesh Kampani ceased to be Independent Director of the Company with effect from August 8, 2019.
The details as required under SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and SEBI Circular no. CIR/CFD/CMD/4/2015 dated September 9, 2015 are enclosed as Annexure- A to this letter.
