Subject:   Correct filing of Disclosures regarding Corporate Action on Listing Center

 

 

Please refer to Exchange Notice No. LIST/COMP/22/2017-18 dated January 16, 2018, wherein it was intimated that Regulation 10 of SEBI Listing Regulations, 2015 requires all listed entities to file all reports, statements, documents, filings and any other information to the Exchange on the specified electronic platform. The Exchange has designated https://listing.bseindia.com (Listing Centre) as the specified electronic platform for filings at BSE.

 

It is observed that few companies are uploading the corporate actions (e.g. record date for dividend etc.) disclosure as Outcome of the Board / Committee meeting under Regulation 30 (Disclosures of Events) or Regulation 50 (Intimation to Stock Exchange).

 

The companies are requested that the intimation regarding fixation of record date for any corporate action or Book closure, needs to be separately intimated to the Exchange under Regulation 42 (Record Date - Equity) or Regulation 60 (Record Date – Debt), as may be applicable.

 

Please note that non-intimation of record date or book closure separately under Regulation 42 or Regulation 60 as the case may be, may result in the Exchange not taking the same on record and subsequent consequences would be at the risk and peril of the issuer companies. It is reiterated that the Exchange will take cognizance of only those disclosures which are filed under relevant Regulations using BSE Listing Center.

 

Companies are requested to please take note of the above and ensure compliance.
