Criteria for suspension (effective from February 15,2013)

The trading in the securities of the company shall trigger suspension on account of following non-compliances

Listing Agreement Clause Criteria for suspension
Clause 3, 12, 21 Non redressal of 25 or more investors’ complaints in respect of non-compliance with these clauses, where the same is outstanding for a period of more than 45 days
Clause 35 – Shareholding Pattern Non-submission of shareholding pattern for 2 consecutive quarters.
Clause 41 – Quarterly Results Non submission of financial results for 2 consecutive quarters.
Clause 49 – Corporate Governance Non submission of Corporate Governance report for 2 consecutive quarters.
Regulation 55A (1) and (2) of the SEBI (Depositories and Participants) Regulations, 1996 – Reconciliation of Shares and Capital Audit report Non submission of Report on Reconciliation of Shares and Capital Audit for 2 consecutive quarters
Non compliance with clauses of listing agreement including aforesaid clauses The exchange may suspend trading in the securities for non-compliance with clauses of the listing agreement, for reasons other than the specific triggers given above, considering the seriousness of the non-compliance. This may include a combination of the specific clauses discussed above, even though the triggers have not been breached.


While analyzing the case for non submission, companies which have submitted incorrect, incomplete or undecipherable report whereby the said report could not be disseminated or taken on record, the same would be treated as non submission and dealt with accordingly.
