Dear Sir, Sub: Amendment to the Listing Agreement – Clause 19 and 28A Securities and Exchange Board of India (SEBI) vide its circular No. SEBI/CFD/DIL/LA/2/2009/21/7 dated July 21, 2009 has prohibited listed companies from issuing shares with superior rights as to voting or dividend vis-à-vis the rights on equity shares that are already listed.nbsp; Accordingly Clause 28A is inserted after clause 28 of the Listing Agreement: The company agrees that it shall not issue shares in any manner which may confer on any person, superior rights as to voting or dividend vis-à-vis the rights on equity shares that are already listed. (Further, SEBI vide its circular No.SEBI/CFD/DIL/LA/3/2009/03/09 dated September 03, 2009 has amended Clause 19 of the Listing Agreement by inserting a sub-clause (d) after sub-clause (C). Accordingly Clause 19 (d) is inserted after clause 19 (C) of the Listing Agreement: that in case of a further public offer to be made through the fixed price route, the company shall notify the stock exchange, at least 48 hours in advance, of the proposed meeting of its Board of Directors convened for determination of issue price.
