OBJECTIVES:
  • To equip the participants with a broad conceptual framework and understanding of Industry practice and compliance issues in process, practice & procedures of corporate governance.


    TARGET AUDIENCE:
    Top and Middle Management Corporate Executives, and Officers associated with process of compliance, Corporate Legal and Strategic Consultants and representatives of accountancy firms.

    DURATION & TIME: 2 Days ( 9.30 am to 5.30 pm )

    PROGRAMME CONTENTS:

    1. Corporate Governance and Corporate Accountability.

      An introduction and general mapping of the issues and the only session which will make any reference to the academic literature on the subject; the topics to be covered are;
      • The legal model of the company, and its failure;
      • Forces driving corporate governance since the 90s;
      • The Cadbury model and codes of corporate governance.
    2. The Board as a Mechanism of Governance.

      The presenters will seek to elicit the views of participants while defining the issues, summarizing research, and making their own suggestions; the topics to be covered are;
      • Responsibilities of the Board;
      • What constitutes "independence " of directors?
      • What should NEDs be doing?
      • Audit Committees;
      • Institutional Nominees;
      • The need for a legislative statement of directors' duties.
    3. Corporate Governance and the Market.
      • Disclosure and transparency issues;
      • Accounting standards and auditor independence;
      • Do Institutional Investors have governance responsibilities?
      • Corporate governance and takeover regulations;
      • Shareholder voting rights.
    4. Between Self-Regulation and Compliance
      • Corporate law and the Department of Company Affairs;
      • The SEBI Code of Corporate Governance and Clause 49 of the listing Agreement;
      • Compliance issues and some company responses.
    Panel Discussion:
    Participants can interact with a panel consisting of professionals from different background within the corporate system sufficiently distinct to allow for a diversity of perspectives or emphases on the general issue of what corporate governance means to them and what they see As the essential elements of a governance agenda.

    FEES:
    The course fee shall be Rs. 4,500/- (Rs. Four thousand Five Hundred only) + 12.36% (service tax + e.cess) per participant inclusive of course material and tuition fees.
