SubjectIntroduction of "BSE StartUp Segment"

BSE SME segment is the preferred platform for listing and trading of SME companies in India and has the highest number of listed companies.

 

Trading Members and market participants are hereby informed that in order, to incentivise “Start-up companies” in the sector of IT, ITES, Bio-technology and Life Science, 3D Printing, Space technology, E-Commerce, Hi- Tech Defense, Drones, Nano Technologies, Artificial Intelligence, Big data, Enhance/Virtual Reality, E-gaming, Exoskeleton, Robotics, Holographic Technology, Genetic Engineering, Variable Computers Inside body computer technology and other Hi-tech based companies, the Exchange is pleased to announce the creation of a new sub-segment within the existing SME segment.

 

The criteria for listing on “BSE Startup Platform” is as follows:

 

1.  The company should be registered as start-up with MSME/DIPP. In case the company is not registered as Start-up with MSME/DIPP then the company’s paid-up capital should be minimum Rs. 1 crore.

2. The company should be in existence for a minimum period of 2 years on the date of filing the draft prospectus with BSE.

3. There should be preferably investment by QIB investors (as defined under SEBI ICDR Regulations, 2009) / Angel Investors/Accredited Investors for a minimum period of 2 years at the time of filing of draft prospectus with BSE.

4. The company should have positive net-worth.

5.The Company should not have been referred to National Company Law Tribunal (NCLT) under Insolvency and Bankruptcy Code, 2016

6.There should be no winding up petition against the company that has been accepted by the National Company Law Tribunal (NCLT).

7. None of the Promoter / directors of the company has been debarred by any regulatory agency(ies).

 

The companies listing on BSE Start-up Platform with the above mentioned criteria would be required to follow all the conditions applicable for listing of SME Companies under Chapter IX of “SEBI ICDR Regulations, 2018”, such as minimum application size, number of allottees etc. as well as LODR requirements pertaining to disclosures, etc., as applicable to SME segment.
