| Exchange Disseminated Time 13/01/2016 16:42:12 | Pipavav Defence and Offshore Engineering Company Ltd has informed BSE that a meeting of the Board of Directors of the Company will be held on January 18, 2016, inter alia, to transact/consider the following businesses:
1. To take note of the acquisition and takeover of the sole control and management of the Company by Reliance Defence Systems Private Limited and Reliance Infrastructure Limited (both referred hereinafter as “Reliance”);
2. To take note of Reliance having become the Promoters of the Company in place of the existing promoters.
3. To reconstitute the Board of Directors, including the appointment of new directors and appointment of Shri Anil D. Ambani as the Chairman.
4. To appoint CEO, CFO and other KMPs.
5. To change the name of the Company to “Reliance Defence and Engineering Limited”.
6. To consider raising funds for the Company, including by way of QIP.
7. To consider the proposal to exit from the Corporate Debt Restructuring (CDR)
8. To seek approval of the shareholders for all or any of above matters as also other matters as may be deemed appropriate.
Further, the trading window closure period is extended till close of working hours on January 20, 2016. |
