| Exchange Disseminated Time 27/10/2016 16:22:42 | Anant Raj Ltd has informed BSE that the Board of Directors of the Company at its meeting held on October 27, 2016, inter alia, has:
1. Considered and took on record the No Objection/Observation Letters of the stock exchanges in terms of Regulation 37 of SEBI (LODR) Regulations, 2015, for the composite scheme of arrangement, among Anant Raj Limited (Amalgamated Company/ Demerged Company 2), Anant Raj Agencies Pvt Ltd (Demerged Company- 1/ Amalgamating Company), Tauras Promoters and Developers Pvt Ltd (Resulting Company- 1) and Anant Raj Global Ltd (Resulting Company 2) and approved the minor modification(s) as recommended by the Stock Exchanges. The modification(s) as recommended by the Stock Exchanges have been duly incorporated the in the Composite Scheme of arrangement.
2. Approved the incorporation of the following four wholly owned Step down Subsidiaries (as Wholly Owned Subsidiaries of Anant Raj Global Limited) in the name and style given as under or such other name as may be approved by the Registrar of Companies, NCT of Delhi & Haryana:
1. Capri Realty Limited
2. Lush Realty Limited
3. Primrose Realty Limited
4. Minerva Realty Limited |
