| Exchange Disseminated Time | Shriram City Union Finance Ltd has informed BSE that the Board of Directors of the Company at its meeting held on January 29, 2013, inter alia, has considered the following :
1. Alteration/amendment of few clauses of Articles of Association of the Company.
2. Issue, offer and allot any kind of securities in one or more tranches by way of direct issuance including in the form of Qualified Institutional Placement, follow-on offer, private placement; and / or any other security linked to share, and / or any other convertible instruments or securities, including Foreign Currency Convertible Bonds ('FCCBs'), which may be subscribed by any Foreign / Domestic Investors in any Foreign Currency or Indian Rupees, not exceeding Rs. 1000 crores (Rupees One thousand crores only) or its equivalent of any other foreign currencies.
3. Appointment of Sri G. S. Sundararajan as Managing Director.
4. ESOP Scheme 2013.
To convene an Extraordinary General Meeting to obtain the approval of shareholders with regard to the above on such other date, time and place as may be decided subsequently. |
