Pursuant to the provisions of Section 110 of the Companies Act, 2013 and the underlying rules, the Company had sought approval of the shareholders of the Company, through postal ballot, for sale of an undertaking of the Company and for change in the registered office of the Company from the State of Maharashtra to State of Gujarat.
Mr. Deep Shukla, Proprietor of M/s. Deep Shukla & Associates, Company Secretaries was appointed as the Scrutinizer to scrutinize the voting conducted through e-voting and postal ballot. The Scrutinizer's report dated 22nd December, 2017, is attached as "Annexure-I".
In terms if the provisions of Regulation 44(3) of the SEBI (Listing Obligations & Disclosure Requirements), Regulations, 2015, the details of the results held through E-voting and postal ballot is attached herewith as "Annexure- II"
