| Exchange Disseminated Time | Aptus Industries Ltd has informed BSE that a meeting of the Board of Directors of the Company will be held on March 25, 2013, inter alia, to transact the following:
1. To consider and approve acquisition of majority stake in M/s Structures 18 Infra Tech Private Limited, an engineering services, Auto CAD, CADCAM Solutions Company from Hyderabad and authorize Two Directors to sign and execute all the necessary documents including Takeover Agreement.
2. To consider and approve the creation of subsidiary, as a part of diversification programme and growth plans of the Company, for foraying into media and entertainment business by setting up TV channels in first phase and film production, film distribution, content management, film screens, etc in second phase.
3. To appoint Dr. Keerti Kumar L Upadhyaya as Director of the company.
4. To appoint Mr. Ch Veeranjaneyulu, a fellow member of The Institute of company Secretaries of India with more than ten years of experience in the fields of finance, legal and administration, as Director of the Company.
5. To appoint Mr. Chinmay Hedge - CEO of the Company's subsidiary M/s Netocol Systems and Solutions Private Limited, as Director of the Company. |
