| Exchange Received Time 29/05/2017 18:14:47 Exchange Disseminated Time 29/05/2017 18:14:50 Time Taken 00:00:03 | Pursuant to the Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, we wish to inform you that the Board of Directors of the Company at its meeting held today i.e. Monday, 29th May, 2017, inter alia considered the following matters:
1) Approved the Standalone Audited Financial Results of the Company for the quarter and year ended 31st March, 2017 and the Consolidated Audited Financial Results of the Company for the year ended 31st March, 2017.
2) Recommended the payment of dividend on Equity Shares @ Rs. 20/- (Rupee twenty only) per share i.e. 10% of the paid up Equity Share capital of the Company for the year ended 31st March, 2017, subject to approval of the shareholders at the ensuing Annual General Meeting of the Company. The dividend, if approved by the shareholders at the Annual General Meeting, shall be paid/ dispatched between 10th October, 2017 to 16th October, 2017.
3) Recommended the appointment of M/s. B Chhawchharia & Company, Chartered Accountants, (having FRN:305123E) as Statutory Auditors of the Company, in place of M/s. Lodha & Co., Chartered Accountants, the retiring Auditors under Section 139(2) of the Companies Act, 2013 at the ensuing 113th Annual General Meeting by the shareholders, to hold office for a term of five consecutive years (subject to ratification of the appointment by the shareholders at every Annual General Meeting) i.e. with effect from the conclusion of the ensuing 113th Annual General Meeting till the conclusion of the 118th Annual General Meeting of the Company to be held for the financial year 31st March, 2022.

A copy of the Standalone Audited Financial Results for the quarter and year ended
31st March, 2017 and Consolidated Audited Financial Results for the year ended
31st March, 2017 along with Statement of Assets & Liabilities as on that date, Auditors Reports on said both results issued by Statutory Auditors, M/s Lodha & Co., Chartered Accountants and declaration pursuant to Regulation 33(3)(d) of Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 are enclosed herewith.
