Sub: Formats under SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011(Regulations).
Securities and Exchange Board of India has issued a Circular no. CIR/CFD/POLICY CELL/3/2015 dated August 05, 2015 regarding the captioned matter.
The said SEBI Circular includes the revised format for disclosures under regulation 31(1)/ (2) of the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011(Regulations).
The companies may note that the changes in the format are as under :
Exclusion:
Promoter holding in the target company (1) - % w.r.t. diluted share capital (*) column.
Inclusion:
Details of events pertaining to encumbrance (3) - Reasons for encumbrance **.
Listed Companies are required to take note of the said circular and comply accordingly.
